What Sippa Is

Sippa is a gamified creator-tipping platform. Fans send creators virtual "drinks" as a fun way to tip and show appreciation.

We provide software and hosting services, including:

• The Sippa storefront, the drink-builder, and creator pages
• Accounts that let you send and receive tips
• Tools to display and track tips
• Gamification features such as badges, streaks, and leaderboards

What Sippa Is Not

We are not:

• A bank, money transmitter, money-services business, e-money issuer, or payment institution
• A crypto exchange, custodian, wallet provider, broker, dealer, or marketplace
• A charity, fundraising platform, creditor, or an investment, financial, legal, tax, or accounting adviser

We also do not provide:

• Custody, holding, receipt, or control of your money or crypto-assets
• Private-key storage or custodial wallets
• The buying, selling, or exchanging of crypto-assets on your behalf
• Payment processing (payments are handled by our payment partner; see Fees)
• Advice on whether the Services are suitable for you

Our Services are provided "as is" and "as available", without any representation or warranty that they are fit for any particular purpose. We do not warrant or guarantee the quality, accuracy, completeness, timeliness, security, or availability of our Services, or that they will be uninterrupted, error-free, or free from viruses.

How Sippa Works

• One account, both directions: You use a single Sippa account, and you can both send tips to creators and receive tips. There is no separate "fan account" and "creator account."
• To receive tips, create a page: If you want to receive tips, you simply create a creator page and add a wallet to receive your tips, either a new wallet or the one you already registered with. Anyone can do this at any time.
• Guest tipping: You can send a tip without an account. When you tip as a guest, we create a pseudonymous record so your tip can be delivered and, if you later claim an account, linked to you. Unclaimed guest identity is kept only for a limited period and then delinked (see the Privacy Policy); the underlying transaction record is retained as required by law.
• Claiming an account: After you tip, you may claim an account, by signing a message with your email, to save your tip history, badges, and profile.
• Linked KIRAPAY account: When you create a Sippa account, we also set up a linked account with our payment partner, KIRAPAY, using the same email and login details, so you can send and receive payments. That account is governed by KIRAPAY's own terms of service and privacy policy.
• Refunds: Tips are generally non-refundable, and Sippa does not reverse payments or process refunds itself. Once a crypto payment is confirmed on-chain, it cannot be reversed; for other payment methods, any refund or chargeback is handled by the payment provider under its own rules.

Tips are voluntary payments made in appreciation of, or in exchange for, a creator's digital content, community, or services. A tip is not a charitable donation, a publicly solicited gift, a public fundraising contribution, an investment, a deposit, or a loan, and it must not be described or used as any of those.

Any arrangement, perk, or benefit between a Fan and a Creator is solely between them, and Sippa is not a party to it. We do not deliver, guarantee, endorse, or refund anything a Creator offers, and we do not mediate disputes between users. Fans and Creators are responsible for their own conduct, content, and compliance with applicable law, including any tax on tips they send or receive.

Account Security

You are responsible for keeping your login credentials and wallet secure and for all activity under your account. Notify us immediately at info@sippa.me if you believe your account or wallet has been compromised. We may act on any instruction we reasonably believe came from you, and we are not liable for losses arising from your failure to keep your credentials or keys secure. We may suspend credentials if we reasonably believe there is a security or compliance risk.

Eligibility Requirements

General Eligibility

By using the Services, you represent and guarantee that:

• You meet all age, residency, legal capacity, and competency requirements to use the Services and be bound by these Terms, and you are at least 18. We may ask you for proof of age.
• You are not impersonating anyone, and the information you provide is accurate and current.
• If you use the Services for an organization, you are authorized to bind it to these Terms.

Compliance & Regulatory Obligations

You represent, warrant, and agree that:

• You are not subject to, or listed under, any sanctions, embargoes, or restrictive measures of the United Nations, European Union, United Kingdom, United States (including OFAC), or any other applicable authority.
• You will comply with all applicable laws in connection with your use of the Services, including anti-money-laundering, counter-terrorist-financing, sanctions, anti-bribery, consumer-protection, content, and tax laws.
• You will only use the Services where it is lawful for you to do so. Availability of the Services and of features or payment methods varies by location, and we may restrict, condition, or withdraw the Services in any place or for any user to comply with applicable law or manage risk.
• You are solely responsible for your own taxes, which depend on your circumstances and may change.

Prohibited Activities

You must not, and must not allow anyone to:

• Use the Services for money laundering, terrorist financing, fraud, sanctions or tax evasion, or any other illegal purpose
• Fund or facilitate illegal goods or services, or submit content prohibited under User Content & Acceptable Use
• Use the Services to market or present tips as donations, charitable giving, public fundraising, or investments
• Circumvent, or attempt to circumvent, our geographic, technical, or security controls
• Interfere with, disrupt, probe, or compromise the Services or any related system, or introduce any virus or malicious code
• Scrape, data-mine, or use bots or other automated means to access or copy the Services or their data, except as expressly permitted
• Infringe our or anyone else's intellectual-property or other rights, or misuse another user's identity, account, or funds

Legal Acknowledgments

You acknowledge and agree that:

• You have read, understood, and agreed to our Privacy Policy.
• To the extent permitted by law, you waive any right to participate in a class action or class-wide arbitration against us.
• These Terms and the Privacy Policy are the entire agreement between you and Sippa regarding the Services; if any provision is found unenforceable, the remaining provisions stay in effect.

You must inform us immediately at info@sippa.me if any representation you have made is no longer true.

Fees

Sippa does not process or hold payments. Payments are made directly from Fans to Creators through third-party payment providers. These payments are handled by our payment partner, KIRAPAY; when you send or receive a payment, you also agree to KIRAPAY's terms of service and privacy policy.

Creating an account and a creator page on Sippa is free. Fees may be collected by Sippa and/or our payment partners in connection with a tip, and any fee that applies will always be shown to you before you confirm. Each payment provider is a separate company, and Sippa is not responsible for its performance. Sippa may introduce or change its fees from time to time.

Blockchain gas or network fees are additional and are your responsibility. You are also responsible for any other fees and taxes associated with your use of the Services, including tips you send or receive; amounts received by Creators exclude taxes, and Creators are responsible for their own income reporting and any withholding that applies.

User Content & Acceptable Use

The Services let you submit content, including handles, avatars, and messages attached to tips ("User Content").

• Your responsibility: You are responsible for your User Content and confirm that it does not infringe anyone's rights or break any law.
• Prohibited content: You must not submit anything unlawful, fraudulent, deceptive, hateful, harassing, defamatory, obscene, sexually exploitative (especially of minors), infringing, or impersonating.
• Handles and names: Choose your handle, display name, and avatar responsibly. Do not impersonate anyone, and do not use names or images that are offensive or that infringe anyone's rights. If you break these rules, we may remove the content or suspend or cancel your account.
• Moderation: We may review, refuse, remove, or restrict any User Content and suspend accounts, including through a reporting process, but we are not obligated to monitor content.

Gamification, Badges & Leaderboards

• Badges, streaks, points, and rankings are for engagement and entertainment only. They have no monetary value and are not redeemable, transferable, or exchangeable for cash or crypto-assets, and confer no ownership or financial right.
• Leaderboards display only registered users who have a Sippa account. Guest tips are not shown on leaderboards.
• We may create, change, recalculate, suspend, or discontinue any gamification feature at any time.

Intellectual Property

Our Intellectual Property

• We own or license all intellectual property in the Services, including their software, design, content, and trademarks (including the "Sippa" name and logo) (the "Materials").
• We grant you a limited, personal, non-exclusive, non-commercial, royalty-free, revocable, non-transferable, and non-sublicensable license to access and use the Materials solely to use the Services. Any other use is prohibited.
• You may not modify, copy, reverse-engineer, frame, mirror, scrape, republish, sell, distribute, or create derivative works from the Materials, in whole or in part, or exploit them for any commercial purpose.
• You may not use the "Sippa" name, logo, or other trademarks without our prior written consent. We reserve all rights not expressly granted and may revoke this license at any time.

Your Intellectual Property

• You retain full ownership of the content you create on Sippa, including your handle, avatar, logo, messages, and drink designs. We do not claim ownership of it.
• You are responsible for your content, including any rights, royalties, or permissions it requires, and we are not responsible for any errors in it.
• You grant us a non-exclusive, royalty-free license to use, host, store, display, and share your name, handle, avatar, logo, and content to operate and promote the Services and your page.
• This license ends when you delete the content or close your account, except for content already shared with others and anything we must keep meeting our legal or contractual obligations.

Third-Party Websites

Where our Services contain links to other websites and resources provided by third parties, these links are provided for informational purposes only. Such links should not be interpreted as approval by Sippa of those linked websites or any information you may obtain from them.

Sippa has no control over the contents of those websites or resources.

Liability

You use the Services at your own risk. To the fullest extent permitted by law, Sippa is not liable for any loss or damage arising from your use of the Services, or from the acts or omissions of any Fan, Creator, or third party (including our payment partners).

Sippa is not liable for:

• loss of profits, revenue, business, data, goodwill, or crypto-assets
• losses caused by crypto-asset volatility, lost keys, or blockchain issues, or by events beyond our reasonable control
• any indirect, incidental, special, or consequential loss

You cannot claim damages from us except where the law does not allow us to exclude or limit liability (such as fraud, gross negligence, or death or personal injury caused by negligence).

Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Sippa and its affiliates and personnel from and against any claims, losses, damages, and reasonable costs (including legal fees) arising from or relating to: your breach of these Terms or any applicable law; your violation of any third party's rights; your use or misuse of the Services; your User Content; any content, page, or arrangement you offer as a creator; any refund you owe; your misuse of another user's personal data; or any regulatory inquiry, dispute, or investigation relating to you.

We may assume the exclusive defense and control of any matter subject to indemnification by you, at our own expense, and you agree to cooperate with our defense of that claim.

Account Deactivation

• By you: You may stop using the Services and close your account at any time. You keep control of your own wallet(s).
• By us: We may suspend or deactivate your account, with or without notice, if you breach these Terms or applicable law, if we reasonably suspect fraud, security, or compliance risk, if required by law or a regulator, if a fee is unpaid, or for legitimate operational reasons. Where practicable we will give reasonable notice.
• Effect: On deactivation, your right to use the Services ends and your pages/links may be disabled, but accrued rights and obligations, and any provisions intended to survive, continue. Completed on-chain transactions cannot be reversed.
• Appeals: If your account is deactivated, you may appeal by contacting info@sippa.me; we will review within a reasonable time.

Changes to These Terms

We may update these Terms from time to time. For material changes, we will give reasonable notice (for example, by posting the updated Terms with a new "Last updated" date or by notifying you). Your continued use of the Services after changes takes effect means you accept the updated Terms. Where required by law, we will seek your consent.
